Important: You are solely responsible for the accuracy, legality, and completeness of all data you enter into the Service. Ledger Pro does not verify the accuracy of user-entered records.
You retain full ownership of all data and information you input into the Service ("User Content"), including customer records and transaction data. By using the Service, you grant Ledger Pro a non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely for the purpose of providing the Service to you.
You represent and warrant that you have obtained all necessary consents from individuals (such as your customers) whose personal data you enter into the platform, in compliance with the DPDP Act, 2023. You are the Data Fiduciary for such third-party personal data.
The Service, including its design, logo, code, features, and content created by us, is the exclusive intellectual property of Ledger Pro and is protected under the Copyright Act, 1957 and other applicable Indian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes only. Nothing in these Terms transfers any intellectual property rights to you.
Ledger Pro is currently offered as a free service. We reserve the right to introduce paid plans or features in the future, with adequate notice to existing users. Any future paid features will be subject to additional terms communicated at the time of introduction.
To the maximum extent permitted by applicable law, Ledger Pro, its founders, employees, and agents shall not be liable for:
The Service is a management tool only and does not constitute financial, legal, or accounting advice. All financial decisions and legal obligations arising from your use of the data remain solely your responsibility. We strongly recommend consulting a qualified Chartered Accountant for tax and compliance matters.
In no event shall our total aggregate liability to you exceed the amount paid by you (if any) for the Service in the twelve (12) months preceding the event giving rise to the claim.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, completely secure, or free from viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any information on the Service.
You agree to indemnify, defend, and hold harmless Ledger Pro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

Jurisdiction: Any disputes, controversies, or claims arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. The parties agree to submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.
Before initiating any legal action, the parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly.
For any queries, concerns, or complaints regarding these Terms, or to exercise your rights under applicable Indian law, please contact our support team. In accordance with the IT Act, 2000, our Grievance Officer will address complaints within 30 days of receipt.
You also have the right to approach the Data Protection Board of India (once established under the DPDP Act, 2023) for grievances related to personal data processing.
