Terms & Conditions

Please read these Terms and Conditions carefully before using Ledger Pro. By accessing or using the Service, you agree to be bound by these terms.

1Acceptance of Terms

By registering for, accessing, or using the Ledger Pro application ("Service") available at hissabcopy.in, you ("User") agree to be legally bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately discontinue using the Service. These Terms constitute a legally binding agreement between you and Ledger Pro under the Indian Contract Act, 1872, and the Information Technology Act, 2000.

By clicking "Continue with Google" or creating an account, you provide free, specific, informed, unconditional, and unambiguous consent as required under the Digital Personal Data Protection Act, 2023.

2Description of Service

Ledger Pro is a free, cloud-based business ledger and account management application designed for small and medium enterprises (SMEs) in India. The Service enables users to:

  • Maintain digital ledger accounts for customers and suppliers.
  • Record credit and debit transactions with descriptions, quantities, and rates.
  • Generate PDF account statements for sharing.
  • Send payment reminders via WhatsApp.
  • Access their business data securely across devices.

The Service is provided "as is" and may be updated, modified, or discontinued at any time at our sole discretion.

3User Eligibility & Registration

To use the Service, you must:

  • Be at least 18 years of age and legally competent to enter into contracts under Indian law.
  • Provide accurate, complete, and current information during registration.
  • Maintain the security and confidentiality of your account credentials.
  • Promptly notify us of any unauthorized use of your account.

You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4User Responsibilities & Acceptable Use

As a User, you agree to use the Service solely for lawful business purposes. You are expressly prohibited from:

  • Using the Service to record fraudulent, fictitious, or illegal transactions.
  • Entering false or misleading information about customers, transactions, or balances.
  • Attempting to circumvent any security features, authentication mechanisms, or access controls.
  • Using the Service to store, transmit, or process data that infringes intellectual property rights or violates applicable law.
  • Reverse-engineering, decompiling, or creating derivative works based on the Service.
  • Using automated scripts, bots, or crawlers to access or scrape the Service.
  • Storing or transmitting malware, viruses, or any harmful code via the Service.
  • Using the Service for money laundering, tax evasion, or any other criminal purpose under Indian law.

Important: You are solely responsible for the accuracy, legality, and completeness of all data you enter into the Service. Ledger Pro does not verify the accuracy of user-entered records.

5Your Data & Content

You retain full ownership of all data and information you input into the Service ("User Content"), including customer records and transaction data. By using the Service, you grant Ledger Pro a non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely for the purpose of providing the Service to you.

You represent and warrant that you have obtained all necessary consents from individuals (such as your customers) whose personal data you enter into the platform, in compliance with the DPDP Act, 2023. You are the Data Fiduciary for such third-party personal data.

6Intellectual Property

The Service, including its design, logo, code, features, and content created by us, is the exclusive intellectual property of Ledger Pro and is protected under the Copyright Act, 1957 and other applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes only. Nothing in these Terms transfers any intellectual property rights to you.

7Payments & Fees

Ledger Pro is currently offered as a free service. We reserve the right to introduce paid plans or features in the future, with adequate notice to existing users. Any future paid features will be subject to additional terms communicated at the time of introduction.

8Limitation of Liability

To the maximum extent permitted by applicable law, Ledger Pro, its founders, employees, and agents shall not be liable for:

  • Any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of the Service.
  • Loss of data, business, profits, revenue, or goodwill resulting from use or inability to use the Service.
  • Errors, inaccuracies, or omissions in any data or content displayed through the Service.
  • Any unauthorized access to or alteration of your data due to circumstances beyond our reasonable control.
  • Actions or omissions of third-party services including Google, Firebase, or WhatsApp.

The Service is a management tool only and does not constitute financial, legal, or accounting advice. All financial decisions and legal obligations arising from your use of the data remain solely your responsibility. We strongly recommend consulting a qualified Chartered Accountant for tax and compliance matters.

In no event shall our total aggregate liability to you exceed the amount paid by you (if any) for the Service in the twelve (12) months preceding the event giving rise to the claim.

9Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, completely secure, or free from viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any information on the Service.

10Indemnification

You agree to indemnify, defend, and hold harmless Ledger Pro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms.
  • Your violation of any applicable Indian law or regulation.
  • Your User Content or its use by the Service.
  • Any claim by a third party (including your customers) arising from your use of the Service.
11Termination

Either party may terminate the use of the Service at any time. We reserve the right to suspend or permanently terminate your account, without prior notice, if you:

  • Breach any provision of these Terms.
  • Engage in fraudulent, abusive, or illegal activity.
  • Pose a threat to the security or integrity of the Service or other users.

Upon termination, your right to use the Service ceases immediately. You may request a copy of your data prior to termination by contacting us.

12Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to:

  • The Information Technology Act, 2000
  • The Indian Contract Act, 1872
  • The Digital Personal Data Protection Act, 2023
  • The Consumer Protection (E-Commerce) Rules, 2020

Jurisdiction: Any disputes, controversies, or claims arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. The parties agree to submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.

Before initiating any legal action, the parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.

13Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly.

14Contact & Grievance Redressal

For any queries, concerns, or complaints regarding these Terms, or to exercise your rights under applicable Indian law, please contact our support team. In accordance with the IT Act, 2000, our Grievance Officer will address complaints within 30 days of receipt.

You also have the right to approach the Data Protection Board of India (once established under the DPDP Act, 2023) for grievances related to personal data processing.
